Introduction On January 13, 2026, the Nasdaq Stock Market LLC (“Exchange” or “Nasdaq”) filed with the Securities and Exchange Commission (“Commission”), pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 (“Act”)  [ 1 ] and Rule 19b-4 thereunder, [ 2 ] a proposed rule change to adopt a new Market Value of Listed Securities continued listing requirement of at least $5 million. The proposed rule change was published for comment in the Federal Register on January 29, 2026. [ 3 ] On March 11, 2026, the Commission designated a longer period within which to take action on the proposed rule change. [ 4 ] On April 28, 2026, the Commission instituted proceedings under Section 19(b)(2)(B) of the Act  [ 5 ] to determine whether to approve or disapprove the proposed rule change. [ 6 ] On June 18, 2026, the Exchange filed Amendment No. 1 to the proposed rule change, which replaced and superseded ( printed page 46996) the original filing in its entirety.
