Introduction On February 20, 2026, The Nasdaq Stock Market LLC (“Nasdaq” or “Exchange”) filed with the Securities and Exchange Commission (“SEC” or “Commission”), pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 (“Act”)  [ 1 ] and Rule 19b-4 thereunder, [ 2 ] a proposed rule change to adopt Nasdaq Rule IM-5101-4, which would provide Nasdaq with the authority to delist a security where the Commission has previously suspended trading and the Exchange determines it appropriate and in the public interest to do so. The proposed rule change was published in the Federal Register on March 6, 2026. [ 3 ] On April 16, 2026, pursuant to Section 19(b)(2) of the Act, [ 4 ] the Commission designated a longer period within which to take action on the proposed rule change. [ 5 ] On May 21, 2026, the Exchange filed Amendment No. 1 to the proposed rule change, which superseded the original filing in its entirety. [ 6 ] The Commission is publishing this notice and order to solicit comments on Amendment No. 1 from interested persons and to approve the proposed rule change, as modified by Amendment No. 1, on an accelerated basis.
