Pursuant to the provisions of Section 19(b)(1) of the Securities Exchange Act of 1934 (“Act”)  [ 1 ] and Rule 19b-4 thereunder, [ 2 ] notice is hereby given that on February 27, 2026, MIAX Sapphire, LLC (“MIAX Sapphire” or the “Company”), [ 3 ] filed with the Securities and Exchange Commission (“Commission”) a proposed rule change as described in Items I and II below, which Items have been prepared by the Company. The Commission is publishing this notice to solicit comments on the proposed rule change from interested persons. I. Self-Regulatory Organization's Statement of the Terms of Substance of the Proposed Rule Change The Company proposes to amend the By-Laws to establish the role of Observers (defined and described below) to the Board, [ 4 ] including, among other things, the rights of Observers and the nomination process. The Company also proposes to remove outdated text regarding Interim Directors. [ 5 ] All changes to the By-Laws proposed herein are referred to as the “By-Law Amendments”. The By-Laws of the Company may be amended by written consent of the LLC Member  [ 6 ] or at any regular or special meeting of the Board of MIAX Sapphire by a resolution adopted by the Board.
