Introduction and Procedural History On January 31, 2025, Texas Stock Exchange LLC (“TXSE”) filed with the Securities and Exchange Commission (“Commission”) a Form 1 application (“Form 1”) under the Securities Exchange Act of 1934 (“Act” or “Exchange Act”), seeking registration as a national securities exchange under Section 6 of the Exchange Act. [ 1 ] On April 2, 2025, TXSE submitted Amendment No. 1 to its Form 1 application. [ 2 ] Notice of the application, as amended, was published for comment in the Federal Register on April 10, 2025. [ 3 ] On July 9, 2025, the Commission instituted proceedings pursuant to Section 19(a)(1)(B) of the Act  [ 4 ] to determine whether to grant or deny TXSE's application for registration as a national securities exchange under Section 6 of the Act. [ 5 ] On July 29, 2025, TXSE filed another amendment to the Form 1 (“Amendment No. 2”). [ 6 ] Amendment No. 2 was published for comment in the Federal Register on August 5, 2025. [ 7 ] The Commission has received comments on the amended Form 1.
