Introduction On April 17, 2025, the Options Clearing Corporation (“OCC”), filed with the Securities and Exchange Commission (“Commission”), pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 (“Exchange Act” or “Act”)  [ 1 ] and Rule 19b-4 thereunder, [ 2 ] a proposed rule change to amend its RWD Plan. On April 28, 2025, OCC filed Partial Amendment No. 1 to the proposed rule change. [ 3 ] The proposed rule change, as modified by Partial Amendment No. 1 (hereinafter “Proposed Rule Change”), was published for comment in the Federal Register on May 7, 2025. [ 4 ] On June 17, 2025, pursuant to Section 19(b)(2) of the Exchange Act, [ 5 ] the Commission designated a longer period within which to approve, disapprove, or institute proceedings to determine whether to approve or disapprove the Proposed Rule Change, until August 5, 2025. [ 6 ] The Commission has not received any comments on the Proposed Rule Change. For the reasons discussed below, the Commission is approving the Proposed Rule Change. II.
