Department of Justice Antitrust Division Notice is hereby given pursuant to the Antitrust Procedures and Penalties Act, 15 U.S.C. 16(b)-(h) , that a proposed Final Judgment, Stipulation, and Competitive Impact Statement have been filed with the United States District Court for the District of Columbia in United States of America v. Keysight Technologies, Inc., et al., Civil Action No. 1:25-cv-01734-CJN. On June 2, 2025 the United States filed a Complaint alleging that Keysight's proposed acquisition of Spirent Communications plc would violate Section 7 of the Clayton Act, 15 U.S.C. 18 . The proposed Final Judgment, filed at the same time as the Complaint, requires Keysight and Spirent to: divest to Viavi Solutions, Inc. property and assets related to or used in connection with three of Spirent's communications testing and measurement business lines (high-speed ethernet, network security and channel emulation); provide to Viavi the opportunity to employ relevant personnel of the businesses being divested; and obtain various transitional services from Keysight and Spirent to support the divested businesses for limited periods.
