Securities and Exchange Commission [Release No. 34-103015; File No. SR-BOX-2025-12] Pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 (“Act”), [ 1 ] and Rule 19b-4 thereunder, [ 2 ] notice is hereby given that on April 25, 2025, BOX Exchange LLC (“Exchange”) filed with the Securities and Exchange Commission (“Commission”) the proposed rule change as described in Items I, II, and III below, which Items have been prepared by the Exchange. On May 7, 2025, the Exchange filed Amendment No. 1 to the proposed rule change, which supersedes and replaces the original proposal in its entirety. [ 3 ] The Commission is publishing this notice to solicit comments on the proposed rule change, as modified by Amendment No. 1, from interested persons. I. Self-Regulatory Organization's Statement of the Terms of Substance of the Proposed Rule Change The Exchange proposes to amend Rule 5020 (Criteria for Underlying Securities) to permit the listing of options on Commodity-Based Trust Shares. The Exchange initially filed this rule change on April 25, 2025 (the “Original Filing”), [ 4 ] this Amendment No.1 amends and replaces the Original Filing in its entirety.
