Department of Justice Antitrust Division [Case No. 1:03CV02012] Notice is hereby given pursuant to the Antitrust Procedures and Penalties Act, 15 U.S.C. 16(b)-(h) , that a proposed Amended Final Judgment, Amended Hold Separate Stipulation and Order, and Revised Competitive Impact Statement have been filed with the United States District Court for the District of Columbia in United States v. Alcan, Inc., Alcan Aluminum Corp., Pechiney, S.A., and Pechiney Rolled Products, LLC, No. 1:03 CV 02012 (GK). On September 29, 2003, the United States filed a Complaint alleging that Alcan's proposed acquisition of Pechiney would violate section 7 of the Clayton Act, 15 U.S.C. 18 , by substantially lessening competition in development, production, and sale of brazing sheet in North America. Brazing sheet is an aluminum alloy used to make heat exchangers ( e.g., radiators, heaters, and air conditioners) for motor vehicles. The initial proposed Final Judgment, filed along with the Complaint, required the defendants to divest Pechiney's brazing sheet business to a person acceptable to the United States within 120 days after Alcan received notice from the responsible French regulatory authority that its tender offer for Pechiney had been successful. On May 26, 2004, the parties filed a proposed Amended Final Judgment. The Amended Final Judgment requires the defendants to divest either Pechiney's or Alcan's brazing sheet business to a person acceptable to the United States within 180 days after
